EL USO DE INSTRUMENTOS FINANCIEROS DERIVADOS COMO ALTERNATIVA PARA CUBRIR RIESGOS
La crisis global que se ha presentado en los últimos meses ha traído consigo un impacto importante dentro de la economía mundial. El valor de diversos activos financieros ha tocado sus mínimos históricos y, otros más, se han elevado por los cielos.
En estos tiempos de alta volatilidad, es imperante contar con una estrategia eficiente para cubrir los riesgos financieros que tienen las empresas en sus negocios. Parte de esa estrategia debe contemplar sin lugar a duda el uso de instrumentos financieros derivados, pero ¿qué son los derivados financieros? ¿cómo se utilizan? ¿es demasiado riesgoso invertir en ellos?
En este artículo trataremos de responder a todas esas preguntas. Es preciso señalar que esta nota no pretende brindar una “receta secreta” o una “estrategia maestra” para cubrir riesgos financieros, ni mucho menos convertirá al lector en un trader experto en derivados. El objeto principal de esta publicación es dar a conocer la existencia de este tipo de instrumentos, establecer sus conceptos básicos, explicar de forma simple su funcionamiento y permitir al público decidir si, de acuerdo a sus necesidades, los derivados financieros pueden convertirse en una alternativa para cubrir sus riesgos.
- Concepto
Desde el punto de vista económico, los derivados son instrumentos financieros cuyo valor depende de un activo subyacente.
A simple vista, el concepto tan simple podría no decirnos mucho de lo que es un derivado financiero, pero una vez analizado, éste tiene mucho sentido.
Primeramente, debemos tener claro que los derivados no tienen un valor propio; es decir, per se, el valor del derivado es 0.00. Entonces, ¿cómo un instrumento financiero que vale nada puede ayudarnos a cubrir un riesgo? Esta es la parte más interesante.
El valor del derivado financiero estará supeditado al valor del activo subyacente. Pero ¿qué es un activo subyacente? En palabras simples pero concretas, podemos decir que el activo subyacente es cualquier cosa que tenga un valor en el mercado: las divisas; las tasas de interés; acciones y demás valores que coticen en las bolsas de valores; el oro, el petróleo, el trigo, el café (éstos últimos denominados como commodities), entre otros.
Posiblemente se estén preguntando, entonces, ¿se pueden hacer derivados sobre cualquier cosa que tenga un valor en el mercado? La respuesta es, sí; puedes hacer derivados sobre lo que te imagines.
Sin embargo, es muy importante señalar que Mr. Market tiene sus activos financieros preferidos, los activos financieros más comunes que se negocian en el mercado son los enunciados en los párrafos anteriores. Esto no quiere decir que en un futuro no se puedan incorporar otro tipo de activos, pero muy posiblemente te decepciones al saber que el día de hoy, no encontrarás futuros o forwards sobre cannabis, al menos en México.
Desde el punto de vista legal, los derivados financieros son simples contratos; un acuerdo de voluntades entre partes para llevar a cabo un negocio jurídico. No obstante, su instrumentación jurídica es mucho más compleja de lo que parece.
Otra de las cosas más importantes a considerar en el campo de los Instrumentos Derivados, es el mercado en donde se negocian:
- Mercado Estandarizado o Bursátil.
El mercado estandarizado, es un mercado organizado con reglas y procedimientos establecidos que permiten dar certeza a las operaciones que se celebren en este mercado; mejor conocidas como Bolsas de Derivados. Los ejemplos más claros son el Chicago Mercantil Exchange y, en México, el Mercado Mexicano de Derivados (MexDer).
- Mercado OTC (Over the Counter – Sobre el Mostrador), No Estandarizado o Extrabursátil.
El mercado no estandarizado o extrabursátil, incorrectamente llamado “mercado no organizado” es quizá uno de los mercados más desarrollados en los derivados financieros. Los expertos señalan que, al no ser un mercado organizado, existen riesgos mucho mayores a los que se asumirían en un mercado organizado.
No obstante lo anterior, debemos precisar que el hecho de que no sea un “mercado organizado”, no quiere decir que no existan reglas y procedimientos establecidos para negociar este tipo de instrumentos. El ejemplo más claro de este mercado es la International Swaps and Derivatives Association (ISDA), la cual, es una organización internacional, cuyo objeto principal es establecer contratos marco o “estandarizados”, así como estándares globales para la celebración de operaciones financieras derivadas (de ahí que, desde el principio de este apartado, nos refiramos a que el Mercado OTC es incorrectamente llamado “no estandarizado”).
A continuación, una tabla en donde se especifican las principales bondades y áreas de oportunidad de cada uno de estos mercados:

| Las operaciones las realizan los contratantes uno a uno y se confirman físicamente o vía telefónica. | |
| Existe flexibilidad en los instrumentos y éstos se pueden adecuar a las necesidades de cada uno de los contratantes. |
- Tipos de Derivados Financieros y su uso para cubrir riesgos.
Existen diferentes clases de instrumentos financieros derivados, y aunque su principal objetivo es un plain vanilla, es decir, cubrir riesgos, este tipo de productos también se pueden utilizar para especular o para hacer arbitraje.
- Futuros y Forwards (Contratos Adelantados).
La diferencia entre los Futuros y los Contratos Adelantados, versa en el mercado en que se negocien; a los primeros los encontraremos en el Mercado Organizado, mientras que los segundos estarán ubicados en el Mercado OTC. Otra diferencia es que los Forwards únicamente pueden ser ejercidos hasta su fecha de vencimiento, en tanto que los Futuros tienen liquidez diaria.
Su objeto es el mismo, fijar en una fecha futura el precio del activo subyacente.
Ejemplo:
Supongamos que la empresa X que se dedica a la distribución de materiales para la construcción, necesita adquirir determinada mercancía al 30 de junio de 2020. Sin embargo, la mercancía que necesita es adquirida a través de un productor en los Estados Unidos, por lo que, el pago de su obligación estará tasado en dólares.
Dadas las condiciones actuales en el mercado, el dólar tiene una gran volatilidad, lo cual, representa un gran riesgo para la empresa X, pues no tiene certeza de cuánto va a pagar por la mercancía que necesita tomando en consideración el tipo de cambio.
La empresa X tienen dos opciones:
Opción 1. Puede acudir al Banco y contratar un Forward sobre divisas.
Opción 2. Puede acudir a la Bolsa de Derivados a través de su bróker y comprar un Futuro USD -MXN.
Entonces, fijará el tipo de cambio a $20 MXN por USD al 30 de junio de 2020; lo cual, le dará una cobertura de riesgo en el supuesto de que el precio del dólar se eleve para esa fecha, y, por ende, certeza de cuanto va a pagar por su mercancía al proveedor de los Estados Unidos.
- Swaps.
Los swaps o permutas son derivados en los que las partes intercambian flujos financieros. Este tipo de instrumentos son mayormente negociados en el mercado OTC dada su naturaleza.
Ejemplo.
La empresa X necesita financiamiento para hacer crecer su negocio, por lo cual, acude al Banco a solicitar un crédito tradicional. Sin embargo, dadas las condiciones del mercado, el Banco no puede ofrecerle una tasa de interés fija, por lo que, el crédito será otorgado con una tasa variable.
El negocio de la empresa X se ve sumamente afectado, ya que los intereses son variables y la empresa X no tiene la certeza de que monto debe pagar por el crédito mes con mes. El asesor del Banco llama al CEO de la empresa X y le ofrece una solución; el Banco intercambiará una tasa fija por la tasa variable del crédito de la empresa X.
Después de haber contratado el swap sobre tasas de interés (IRS- Interest Rate Swap), la empresa X ahora sabe perfectamente cuanto pagará de intereses por el crédito que le otorgó el Banco, lo cual, le permite tener un mayor control sobre los flujos de efectivo de su negocio.
- Opciones.
Las Opciones son quizá el derivado financiero más bondadoso del mercado, pues sus costos y riesgos son menores a los de otros derivados.
En los contratos adelantados, futuros y swaps, si bien estás fijando el valor del activo financiero, corres el riesgo de que el activo en lugar de subir, baje de precio; lo cual, te generaría una pérdida financiera.
En el primer ejemplo señalado, respecto de los contratos adelantados o futuros de divisas, supongamos que la empresa X fijó el tipo de cambio a $20 MXN por USD con el Banco. De acuerdo con el análisis realizado por la empresa X, para la fecha que requiere comprar su mercancía, el tipo de cambio estaría en $23 MXN por USD. Claramente tendría una cobertura de $3 MXN por USD. Sin embargo, las condiciones de mercado fueron inesperadas, y, el tipo de cambio en vez de subir a los $23 MXN por USD, bajó de forma inesperada a $17.00 MXN por USD. La empresa X en lugar de tener una cobertura de $3 MXN por USD, tiene una pérdida por la misma cantidad, ya que pudo haber comprado esa divisa en $17 MXN por USD, pero al contratar el derivado financiero ahora tiene que pagarlo en $20 MXN por USD.
Este tipo de circunstancias, si bien se presentan en las Opciones, es precisamente su naturaleza la que le permite evadir ese riesgo con una pérdida mínima.
Un contrato de Opción es aquel en virtud del cual, el contratante de la Opción adquiere el derecho, pero no la obligación, de comprar o vender un activo financiero a determinado precio en el futuro a cambio del pago de una prima y de un precio de ejercicio. Es algo muy similar a la contratación de un seguro.
Ejemplo.
Un inversionista esta interesado en adquirir acciones de una determinada emisora que cotiza en bolsa, según su análisis, las acciones deberán de bajar de precio en una fecha determinada, y, posteriormente subirán a sus máximos históricos; lo cual, le permitirá al inversionista comprar a un precio bajo dicha acción, para posteriormente venderla a un precio más alto y así, obtener una ganancia de capital. Sin embargo, esta persona es demasiado cuidadosa con sus inversiones y adquiere una Opción de Compra (Call), la cual, le permitirá adquirir a $20 MXN la acción de dicha emisora, a cambio del pago de una prima de $5 MXN.
Con el paso del tiempo, el inversionista se da cuenta que las condiciones del mercado son poco favorables; la acción de la emisora se desploma y la empresa entra en una crisis financiera. El inversionista sabe muy bien que dicha empresa ya no se va a recuperar, por lo que, su plan de adquirir la acción a un precio bajo y venderla a un precio alto ya no será posible. El inversionista decide no comprar la acción, y, por ende, no pagará el precio de ejercicio de la Opción.
Si dicho inversionista hubiere adquirido un futuro o forward sobre esa acción, habría tenido que comprarla, y posiblemente habría sufrido una gran pérdida, pero al adquirir una Opción, tiene el derecho, pero no la obligación, de comprar la acción; por lo cual, la única pérdida que tuvo fueron los $5 MXN que pagó por la prima de la Opción.
En 2020, la adquisición de Opciones de Venta (Put) fue la estrategia que utilizó el gobierno mexicano para cubrir el desplome del crudo nacional. Es una operación muy similar a la expuesta en el ejemplo anterior, pero a la inversa, en lugar de adquirir el derecho de comprar, el gobierno mexicano adquirió el derecho de vender el crudo a determinado precio en el futuro.
- El mercado de Derivados en México.
Como se señaló al principio del presente artículo, existen mercados estandarizados y mercados OTC para negociar Derivados, en México, el mercado organizado se encuentra en MexDer, Mercado Mexicano de Derivados, S.A. de C.V.; la cual, es la única Bolsa de Derivados en el país, misma que pertenece a Grupo Bolsa Mexicana de Valores. La clearing house de MexDer es un fidecomiso denominado Asigna Compensación y Liquidación, mismo que adquiere el carácter de acreedor y deudor recíproco de los Socios Liquidadores participantes del mercado.
De igual manera, en el mercado OTC, existen un gran número de operaciones derivadas, la mayoría celebradas por Bancos con sus clientes o con otros Bancos, e inclusive, con entidades financieras de carácter internacional.
En el mercado OTC existen 2 tipos de contratos que se pueden celebrar: los Contratos establecidos por ISDA; que son de carácter internacional y que se negocian bajo las leyes de los Estados Unidos o del Reino Unido; y los contratos locales, acuerdos establecidos bajo las leyes mexicanas.
Cabe destacar que no existe una Ley de Derivados en México; tratándose del mercado OTC, las operaciones que se realizan están sujetas a las condiciones de los contratos marco celebrados; y aquellas celebradas en el mercado estandarizado, están sujetas a los reglamentos interiores y manuales de MexDer y Asigna.
La única regulación existente en materia de derivados, son las Disposiciones de carácter prudencial a las que se sujetarán los participantes del mercado de contratos de derivados, emitidas por la Comisión Nacional Bancaria y de Valores; la Circular 04/2012 emitida por el Banco de México aplicable para Bancos y las Reglas a las que habrán de sujetarse los participantes del Mercado de Contratos de Derivados, reglas tripartitas emitidas conjuntamente por la Secretaría de Hacienda y Crédito Público, la Comisión Nacional Bancaria y de Valores y el Banco de México. Sin embargo, se ha discutido con las autoridades la necesidad de establecer una Ley en materia de derivados que regule debidamente la actividad de este mercado en México.
